1. Acceptance and authority
CoverSmart.ai is part of AssureGuru.com. These Terms and Conditions ("Terms") are a binding agreement between CoverSmart ("CoverSmart," "we," "us," or "our") and the person or organization using the Services ("you"). By creating an account, accepting an invitation, connecting an integration, or using the Services, you agree to these Terms and our Privacy Policy.
If you use the Services for an employer, insurance agency, or other organization, you represent that you are authorized to accept these Terms and use the Services on its behalf. If a separate written agreement with CoverSmart applies, that agreement controls to the extent of a conflict.
2. Accounts and access
You must provide accurate account information, keep credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account, except to the extent caused by CoverSmart's breach of these Terms.
Organization administrators control invitations, roles, access to organization records, and connected services. You may access only information and features you are authorized to use. Accounts may not be shared between individuals.
3. Acceptable use
You may use the Services only for lawful business purposes. You must not:
- submit information you lack the legal right or required authorization to process;
- access another person or organization's account, records, or credentials without permission;
- probe, disrupt, overload, bypass, or defeat security or access controls;
- upload malware or use the Services to facilitate fraud, discrimination, harassment, or unlawful surveillance;
- scrape, resell, sublicense, reverse engineer, or create a competing service from the Services except where applicable law expressly permits it;
- misrepresent automated or AI-generated output as verified when it has not been reviewed;
- use the Services in violation of insurance, privacy, consumer protection, export, sanctions, or other applicable law.
4. Customer data and instructions
You retain the rights you hold in documents, records, prompts, and other content submitted to the Services ("Customer Data"). You grant CoverSmart a limited right to host, copy, transmit, transform, and otherwise process Customer Data only as needed to provide, secure, support, and improve the Services and fulfill our legal obligations.
You represent that you have provided all notices, obtained all permissions, and established all lawful bases required for CoverSmart and its providers to process Customer Data, including driver license, policyholder, household, property, vehicle, and communications information.
You are responsible for configuring access, verifying recipients, maintaining appropriate source records, and avoiding unnecessary submission of sensitive information.
5. AI processing and insurance decisions
CoverSmart output is an assistive draft, not professional advice or a binding insurance decision.
The Services may use artificial intelligence, optical character recognition, external data, and automation to extract or generate information. Output can be incomplete, inaccurate, duplicated, or based on a misread document. You must review output against original source documents before relying on it.
CoverSmart is not an insurer, underwriter, claims adjuster, law firm, or substitute for a licensed insurance professional. The Services do not bind coverage, guarantee a quote or premium, determine eligibility, or provide legal, tax, or insurance advice. Final submissions and decisions remain the responsibility of authorized users, agencies, carriers, and other applicable professionals.
6. Third-party services and Google integrations
The Services may interoperate with cloud storage, AI providers, OnlyOffice, Google APIs, communications providers, property-data services, carrier systems, and automation services. Your use of a third-party service may be governed by that provider's terms. We are not responsible for third-party services outside our control.
When you authorize Google access, you instruct CoverSmart to access and process the authorized Google data to perform the requested integration. This may include Gmail permissions to read messages and attachments, modify message labels or status, create and manage drafts, send user-directed messages, and read message metadata, as well as authorized Google Drive and Google Sheets access. You can revoke access through your Google Account. The specific OAuth permissions and our handling of Google API data are described in the Google API Services user data section of our Privacy Policy.
7. CoverSmart ownership and feedback
CoverSmart and its licensors own the Services, software, interfaces, documentation, workflows, and related intellectual property, excluding Customer Data. Subject to these Terms and any applicable order, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes.
If you provide suggestions or feedback, you permit us to use it without restriction or compensation, provided we do not identify you publicly without permission.
8. Availability, changes, and support
We may update, improve, restrict, or discontinue features. We may perform maintenance and cannot guarantee uninterrupted or error-free operation. Processing times and third-party integrations may vary. We may establish reasonable technical limits to protect security and service quality.
You are responsible for maintaining source documents, exports, and backups appropriate to your business and legal obligations.
9. Suspension and termination
You may stop using the Services at any time. Organization administrators may disable user access. We may suspend or terminate access when reasonably necessary to address security risk, unlawful activity, nonpayment under an applicable order, material breach, or harm to the Services or others.
Upon termination, your right to use the Services ends. Data export, retention, and deletion are subject to the applicable agreement, customer instructions, our Privacy Policy, backup cycles, and legal obligations. Provisions that by their nature should survive termination will survive.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." COVERSMART DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
We do not warrant that output will be accurate, that every document can be processed, that integrations will remain available, or that the Services will satisfy every regulatory or recordkeeping requirement applicable to you. Nothing in these Terms excludes warranties that cannot lawfully be excluded.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVERSMART AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVERSMART'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID TO COVERSMART FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. IF NO AMOUNT WAS PAID, THE LIMIT IS US$100. These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.
12. Indemnification
To the extent permitted by law, you will defend and indemnify CoverSmart from third-party claims, damages, and reasonable costs arising from Customer Data, your unlawful or unauthorized use of the Services, or your material breach of these Terms. This obligation does not apply to the extent a claim results from CoverSmart's own breach or misconduct.
13. General terms
You may not assign these Terms without our written consent, except in connection with a permitted business reorganization. We may assign them as part of a merger, acquisition, corporate reorganization, or sale of assets.
If any provision is unenforceable, it will be modified only as much as necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. Neither party is liable for delay caused by events beyond its reasonable control.
Applicable law and the courts with jurisdiction over the contracting CoverSmart entity govern these Terms, without regard to conflict-of-law rules, unless a separate written agreement states otherwise or applicable law requires another forum.
We may revise these Terms from time to time. The updated Terms will be posted with a new effective date. Material changes will receive additional notice where required. Continued use after the effective date constitutes acceptance to the extent permitted by law.
